I found it! Here is the log. I don't know some of the stuff in the file but it seems odd what happended to me.

Do you have the MSI log as well? It's something like VSMSIxxx.txt or VSMSIxxx.log?
Look for "return value 3" and copy the lines before that so we can tell what happeend.

I am also having similar problems installing VS2005 beta 2.
Background info:
-Win 2000 server
-Logged in as Admin
-Only essential services on (e.g. AV svc off)
-Temp folders cleared
-All other apps closed
